CONSTITUTION AND BY-LAWS
OF NORTH CAROLINA CHAPTER
NATIONAL ASSOCIATION OF POSTMASTERS



Preamble


For the purpose of more effectively assisting the advancement of the United States Postal Service to a constantly high standard of practical efficiency and economical operation in keeping with systematic business methods and in the interest of the Public Welfare, the Postmasters of the State of North Carolina hereby organize into an association to be known as the North Carolina Association of Postmasters of the United States. We pledge ourselves to aid and assist the Postal Service in bringing about the desired results and to work with loyalty and diligence to meet the requirements and demands for an efficient Postal Service for the State of North Carolina and in the United States and to strive coordinately for the betterment of conditions confronting the Postmasters at Post Offices of every class.



Article 1 - Districts


For the purpose of better administering its affair, the State of North Carolina is hereby divided into seven districts as follows: Asheville (287-288-289), Charlotte (280-281- 282), Fayetteville (283-284-285), Greensboro (270-271-272-273-274), Hickory (286), Raleigh (275-276-277), and Rocky Mount (278-279).
The members of the Association residing in each of the assigned districts of North Carolina shall organize district associations by electing a District Director, Vice-Director and Secretary-Treasurer. In the absence or disability of the Director, the Vice-Director shall serve as the Director. Postmasters must have at least one (1) year membership at the time of election in the North Carolina Chapter of the National Association of Postmasters of the United States before being elected as Director or Vice-Director. The President is empowered to remove a Director if in violation of Article II. If the District Officers are not elected in annual meeting as provided in Article II, the President of the State Chapter is authorized, empowered, and directed to appoint such District Officers from the membership in the District within thirty (30) days following the State Convention. Each District shall appoint County Chairmen in and for each of the counties of such District, and upon his/her failure to do so in thirty days after his/her taking office, the President shall make such appointment. The District Directors shall be responsible for and direct membership campaigns in their respective Districts and perform such other duties as may be assigned by the President or the Executive Board. They shall be expected to attend Executive Board Meetings and State Conventions. They will serve on the nominating committee. They shall hold meetings from time to time at their pleasure except that they shall be required to hold two (2) Town Hall meetings annually. One of these two (2) meetings must occur not later than fifteen (15) days prior to the State Convention at which time District Officers will be selected for the coming year. The County Chairmen shall aid and assist in membership campaigns and in the collection of dues and all matters of interest to the Association and its members. The County Chairmen may call meetings of the members of their respective Counties and may appoint an Assistant County Chairman.


Article II-Officers


The Officers of this Association shall be a President, Vice-President, Editor, "The Tar Heel Postmaster," and a Secretary-Treasurer. All of these officers shall be Postmasters with at least two (2) years membership, at the time of their election, in the North Carolina Chapter of the National Association of Postmasters of the United States. Officers shall be elected without regard to class of office or geographical location. No one shall be qualified to hold office in this Association who is not a Postmaster and any officer of the Association who, during his/her term of office, resigns, be removed, or be reassigned, for any cause whatsoever, from the position of Postmaster shall immediately become ineligible to hold office and a vacancy shall be declared, which vacancy shall be filled in the manner hereinafter provided.


Item 1 - President


The President shall preside at all meetings of the Chapter; shall call all special meetings; shall appoint the following committees: Auditing, Constitution and By-Laws, Credentials, Finance (to be chaired by the Secretary-Treasurer as required by Article IX), Policy, Sergeant-At-Arms, Time and Place, Nominations (as required by Article VIII), and all other committees not in conflict therewith and necessary for the proper conduct of the business of the Chapter; request reports from time to time of the Secretary-Treasurer on the condition of funds of the Chapter, and in general, perform each and every act and such other duties as may appertain to this office, and prepare a newsletter to be distributed to the membership on an as needed basis. Should the office for the President be vacated at any time because of death, disability, resignation or retirement from the Postal Service, the Vice-President shall fill the unexpired term.


Item 2 - Vice-President


The Vice-president shall serve as President in the absence of the President or upon direction of the President. The Vice-president shall make himself/herself available to the President, and the Executive Board regarding his/her performance of duties. The Vice-President should be qualified to serve as President subsequent to his/her term as Vice-President. Should the office of Vice-president be vacated for any reason, the same shall be filled by appointment by the same Executive Committee.


Item 3 - Secretary-Treasurer


The Secretary-Treasurer shall keep all records, issue all certificates of membership, collect dues, and assessments; have custody of all funds, deposit them and withdraw them, be responsible therefore, keep accurate and complete accounts vouchers and receipts; and in general perform all duties commonly incident to the office of both the Secretary and the Treasurer. The Secretary-Treasurer shall give such Bond as may be required and approved by the Executive Board, the expense of the Bond to be paid by the Chapter. The Secretary-Treasurer shall maintain and keep current the official copy of the Constitution and provide the President with a copy each year, and send a copy to each New Member of the North Carolina Chapter of the National Association of Postmasters of the United States.
Should the office of the Secretary-Treasurer be vacated at any time, for any reason, the President shall notify the members of the Executive Board, who will immediately meet and elect a successor to fill the unexpired term.


Item 4 - Editor


The Editor shall be responsible for the publication of the Official Publication of the North Carolina Chapter of the National Association of Postmasters of the United States. The President shall request the Editor to submit a budget for the operation of the publication to the Finance Committee, including the incidental expenses connected therewith, and the President and the Executive Board are authorized to appropriate such monies as may be necessary for the expenses of publishing and distributing the Chapter Publication. The Editor shall serve as Chapter Historian to keep updated records of Chapter functions and report at the Annual Convention.
Should the office of the Editor be vacated at any time by death, disability, resignation, or retirement from the Postal Service, the President shall notify the members of the Executive Committee who will immediately meet and elect a successor to fill the unexpired term.


Item 5 - Removal From Office


In the event of the refusal of any elected officer of the Chapter to act or to properly fill the duties of the office, or to so conduct his/her office that the name of our Parent Association shall be brought in disrepute, or to otherwise injure the Chapter of the Association, the Executive Board shall instruct the President to prefer charges against the Official, and after service of the charges upon the accused, and ample time for an answer and defense has elapsed, the board may, if in its opinion the charges are substantiated, declare the office vacant.


Item 6 - Officers


All officers of the Association shall serve without compensation. It shall be the
responsibility of the Finance Committee to include in the budget such funds as are necessary to cover the expenses of the Chapter Officers and the Executive Board in fulfilling their duties to the Chapter.
The President, with approval of the Executive Board, may appropriate such sums as are available and not otherwise appropriated or designated to meet the necessary expenses of the President and of the Secretary-Treasurer in the administration of the Chapter's affairs. The Executive Board may appropriate a designated sum to be used by the President.


Article III - Election of Officers


The election of Officers shall take place on the second full day of our State Convention of the Association with time and location to be posted by noon of the previous day. The election shall be by a majority vote. When there is no contest, the election shall be by acclamation. When a contest exists, the election will be held by secret ballot, and the Credentials Committee shall count all votes. State and District Officers shall assume the duties of office on October 1st and leave office on September 30th of the following year. The term of office of all officers shall be that the President shall serve not more than one successive elected term, the Secretary-Treasurer shall serve not more than three successive elective terms and the Editor shall serve not more than four successive elective terms.


Article IV - Membership


Item 1


All Postmasters of the State of North Carolina of every class Post Office shall be eligible to membership in this Association and may become members thereof upon payment of membership dues. The dues shall conform to the schedule prescribed by the National Association of Postmasters of the United States. Dues are payable in advance for a full calendar year, except for those Postmasters participating in the Dues Withholding Plan. Any Postmaster who has never held membership in the Association may become a member in good standing by payment of pro-rated annual dues for the remainder of the calendar year, or immediate participation in the Dues Withholding Plan. Members whose dues have not been paid prior to February 1st shall be dropped from Chapter rolls, except those members participating in the Dues Withholding Plan.


Item 2


An Associate Member can be any member who has been honorably separated from the Postal Service and/or promoted, or any temporarily assigned OIC. To be eligible to become an Associate Member, he/she must pay dues as prescribed by the National Association of Postmasters of the United States. The Secretary of the Chapter shall maintain a chapter roll of Associate Members. Associate Members shall be allowed to vote but cannot hold office, and shall be entitled to attend all Chapter Meetings, receive all publications and participate in all service plans.


Item 3


Being made a member of "The First Timers Club" shall recognize all Postmasters attending a convention of the North Carolina Chapter of the National Association of Postmasters of the United States for the first time.


Article V - Executive Committee


The Executive Committee will consist of the President, Vice-president, Secretary- Treasurer, Editor and the Past-President. This Committee will meet upon the request of two or more of its members. The purpose of this committee will be to analyze and investigate matters for presentation to the full Executive Board and to serve as the Postmaster Representation Committee. This Committee will not be empowered to spend monies of the Association without prior approval of the Executive Board.


Article VI - Executive Board


The President shall appoint the following officers to serve on the Executive Board: Legislative, Education, Public Relations, Membership, Service Representative, and PAC. Appointed Officers may be appointed no more than two consecutive one-year terms with the exception of the Legislative Chairperson and the Service Representative who may be appointed no more than three consecutive one-year terms. The President, the Vice-President, the Secretary-Treasurer, the Editor, the Legislative Chairman, the Education Chairperson, the Public Relations Chairperson, the Membership Chairman, the District Directors, the Immediate Past President, the Service Representative, the PAC Chairperson, the NAPUS Auxiliary President, the NAPUS Retiree President, shall constitute the Executive Board of the Chapter, of which the President shall be Chairman. The Executive Board shall have full control of the affairs of the Chapter between Conventions, and shall decide all questions not determined by the Chapter in Convention assembled. The Secretary-Treasurer shall act as Secretary of the Board.


Article VII - Meetings


The Chapter shall meet in annual convention at a time and place decided upon by a majority vote of the Chapter Executive Board not more than two years in advance, provided however, that the President may with the approval of the majority of the Executive Board, for good and sufficient reasons, change the time and place previously fixed. Special meetings may be called from time to time by the President with the approval of a majority of the Executive Board or upon written request of twenty-five or more members of the Chapter. The Secretary-Treasurer shall upon the request of the President, give notice of the time and place of such meetings to the members of this association.


Article VIII - Nominating Committee


The Nominating Committee shall consist of the District Directors for the current year plus one member, who shall serve as Chairman of the Nominating Committee, appointed by the President. Each District shall be represented on the nominating committee and in the event a District Director, or Vice-Director is not in attendance at the State Convention, the President shall be empowered to appoint a representative from that District on the Nominating Committee.

Article IX - Finance Committee

The Finance Committee shall consist of the Secretary-Treasurer, who will serve as Chairperson, and four (4) additional members as appointed by the President within thirty (30) days of his/her appointment at the post-Convention Executive Board meeting. If the Secretary-Treasurer is newly elected, the outgoing Secretary-Treasurer will be one of the members appointed by the President. This Committee will be responsible for presenting a budget for the ensuing year to the Executive Board at its first meeting of the year. This budget is to include but not be limited to expenses related to Chapter Officers in the performance of their duties to the Chapter


Article X - Endorsement for National Office


The vote for endorsing any candidate for National Office shall take place on the last day of the State Convention of the Association. The endorsement shall be by majority vote. When there is no contest, the endorsement shall be by acclamation. When a contest exists, the vote to endorse will be held by ballot, and the Credentials Committee shall count all votes. The candidacy of a North Carolina Postmaster for National Office can only be endorsed at any business session on the last day of any State Convention. Nothing in this Article shall be construed as to require the Association to endorse any candidate. The North Carolina Chapter will be bound by this endorsement at the National Convention by the first ballot only.


Article XI - Representation at National Convention


Representation of the Chapter at all National Conventions shall be in conformity with the provisions of the Constitution and By-Laws of the National Association of Postmasters of the United States.


Article XII - Interpretation


If, between conventions, it should develop that any part of this Constitution is found to be ambiguous, or conflicting, or require clarification, it shall be the duty of the Executive Board to interpret the particular section, subject at all times to final determination by the Chapter, either in convention or by referendum. A two-thirds vote of the Board shall be necessary in any decision.


Article XIII - Amendments


The Constitution may be amended at any convention of the Chapter by a two-thirds vote of members present, or it may be amended by referendum vote, which shall be signed by two-thirds of the members in good standing.

Article XIV - Tar Heel Postmaster


The official publication of the North Carolina Chapter, National Association of
Postmasters of the United States, shall be known as "The Tar Heel Postmaster" and shall be issued bi-monthly except when unusual circumstances prevent.
The Executive Committee shall control the editorial policies of "The Tar Heel
Postmaster". The columns of the Publications shall be open, insofar as space limitations permit, to views of the members of the Chapter that may not be regarded as libelous or otherwise harmful to the best interests of the Chapter. The Editor shall be expected to publish as much Chapter news and other news of interest to the membership as possible, including personal items about Postmasters and their official family connections. Postmasters are encouraged to see that such news items are made available to the Editor. All funds received by the Editor of "The Tar Heel Postmaster" from any source whatsoever in his/her official capacity shall be the property of the North Carolina Chapter, National Association of Postmasters, and shall be forwarded by the Editor to the Secretary-Treasurer as soon as received.


Article XV - Duties of Past -Presidents and Committees


Item 1 - Past Presidents


The immediate Past President shall serve on the Executive Board and Executive Committee. They will perform any duties designated by the President. He/she will also serve as parliamentarian to ensure that Robert's Rules of Order are followed when the State Convention is in session and be available for counsel in other matters requiring parliamentary procedure interpretations.


Item 2 - Sergeant-At-Arms


Prior to each convention, the President is to appoint a Sergeant-At-Arms Committee, and chairman of committee. It shall be the Chairman's duty to maintain orderly entrance to the convention floor, designate members of the committee to serve as ushers, and to perform other duties as may be incidental to the office or as may be designated by the President or Program Coordinator

Item 3 - Education Chairman


The President prior to each convention, giving ample time to plan Seminars and
Workshops at the Convention, shall appoint the Education Chairman.


Item 4 - Legislative Chairperson


The Legislative Chairperson shall be responsible for writing articles to be published in "The Tar Heel Postmaster" and/or on the NC NAPUS website as authorized by the membership, keeping informed of legislation affecting the Postal Service and collecting legislative funds from the membership. The Legislative Chairperson shall be responsible for planning legislative trips to Washington to lobby on behalf of the Postal Service and Postmasters


Item 5 - Membership Chairman


The Membership Chairman shall establish a membership goal and formulate a detailed plan, which shall assure the goal is reached. He/she should see that the President calls a newly appointed member immediately after notification of appointment is received. The President may designate the Membership Chairman to be responsible for these calls, if provision is made for payment of such calls. He/she shall notify the County Chairman of the appointment and have him/her visit the new appointee. The Membership Chairman shall send a letter, to reach the new appointee the day following the receipt of notification of the appointment, congratulating the new Postmaster or OIC, and offer any needed help. An invitation to join NAPUS should be included. He/she should solicit the help of all Chapter Officers and motivate all of them to actively engage in the membership effort.


Item 6 - Service Representative


The Service Representative shall have a thorough knowledge of all insurance programs available as well as function of the NAPUS Federal Credit Union and their benefits. He/she shall know how to sign up members in the Credit Union. He/she shall maintain a supply of current forms for all these programs. He/she shall provide a booth at the State Convention to serve delegates throughout the Convention. Time should be requested for the Service Representative to appear on the program early in the convention to explain the programs. The Service Representative shall maintain close liaison with the National Chairman for services. He/she shall notify the Manager of NAPUS Federal Credit Union of this appointment giving name, address, residence and office phone numbers. He/she can obtain supplies by calling the Credit Union Office at 800-336-0284.

Item 7 - Postmaster Representation Committee


It shall be the duty of the committee on Postmaster Representation upon request to advise, counsel, and assist in the resolvement of official concerns and to mobilize the strength, prestige, status, and effectiveness of NAPUS in furthering and protecting the interest of Postmasters. They should avail themselves of the experience and knowledge of the National Committee on Postmaster Representation. Promptness and immediate response to the requests for assistance from the Postmaster being confronted with adverse actions is of prime importance. If unable to contact a National Committee member, immediately contact a member of the Executive Board and assistance will be arranged. See Article V for a list of members serving on this committee.


Item 8 - Public Relations Chairman


The Public Relations Chairman shall at all times stand up for all the positive things we do to improve the image of the Postal Service. He/she shall tell our story to the media, our boss, our elected representatives, and our own membership. He/she shall advertise NAPUS meetings and our State Convention and contact local media for proper coverage. He/she shall increase communication to the membership, telling them what we are doing in areas of programs and legislation. He/she shall have a column in "The Tar Heel Postmaster" concerning Public Relations and create enthusiasm among the membership about themselves and NAPUS.

Item 9 – PAC CHAIRMAN


It shall be the duty of the PAC Chairman to collect monies from the membership for the PAC Fund. This representative shall be an Active NAPUS Member or Retiree. He/she shall be in communication with the National PAC Chairman. The funds raised by this chairman will be used to help elect candidates that have demonstrated they are friends of NAPUS

This constitution contains all amendments approved by the North Carolina Chapter of the National Association of Postmasters of the United States. Date of last approved amendment was the State Convention in Concord, NC on June 11th, 2008

FINANCIAL POLICY



WHEREAS, the North Carolina Chapter of NAPUS cannot effectively represent it's members and be a viable voice without a sound Financial Policy and adequate cash reserve, and THEREFORE BE IT RESOLVED, that this Financial Policy is endorsed by the Executive Board for the Chapter year beginning with the date of it's adoption as recorded at the end of this document.

RESOLVED, that the NC NAPUS President serves without compensation and is expected to attend Chapter Training Conferences, the Legislative Conference, State Convention, Southern Officers Conference, National Convention, and other functions when acting in the official capacity of the position; therefore, be it resolved that the President's expenses be reimbursed for all these meetings to the extent of mileage at the prevailing USPS rate via most cost wise means, registration, and lodging.

RESOLVED, that the Chapter Secretary-Treasurer and Editor also serve without Compensation and are expected to attend Chapter Training Conferences, the Legislative Conference, State Convention, Southern Officers Conference, and National Convention; therefore, be it resolved that the Secretary-Treasurer and Editor Expenses be reimbursed for all these meetings to the extent of mileage at the prevailing USPS rate via most cost wise means, registration, and lodging. Resolved that the Editor is encouraged to attend the semi-annual Retiree Meetings, therefore be it resolved that he/she be reimbursed to the extent of mileage at the prevailing USPS rate via the most cost wise means.

RESOLVED, that the Vice President is next in line to assume leadership of the NC Chapter of NAPUS; therefore, be it resolved that the Vice President be reimbursed to the extent of mileage at the prevailing USPS rate via most cost wise means, registration and lodging to attend Chapter Training Conferences , the Legislative Conference, State Convention, Southern Officers Conference, and National Convention.

RESOLVED, that the immediate Past President is recognized as an Executive Board Member and that his/her attendance to all Chapter Training Conferences is desirable, therefore, be it resolved that the immediate Past President be reimbursed mileage at the prevailing USPS rate via the most cost wise means, registration and lodging to attend Chapter Training conferences.

RESOLVED, that the District Directors are one of the most important elected positions of the NC Chapter of NAPUS and it is in the best interest of the Chapter that theDistrict Directors attend all Chapter Training Conferences that his/her schedules permit; therefore, be it resolved that District Directors be reimbursed mileage at the prevailing USPS rate via the most cost wise means, registration and lodging to attend Chapter Training Conferences.

RESOLVED, that the business of the NC Chapter of NAPUS cannot be conducted without the full representation of the complete Executive Board; therefore, be it resolved that the Board Members shall be reimbursed for attendance at the first Executive Boards Meeting in October to the extent of one nights lodging and roundtrip mileage at the prevailing USPS rate via the most cost wise means. For the State Convention Executive Board meeting, Board members shall be reimbursed for one nights lodging and mileage one way at the prevailing USPS rate via the most cost wise means.

RESOLVED, that the importance of individual participation for appointed officers cannot be prioritized and recognizing that appointed officers serve without compensation, and that all appointed officers are members of the Executive Board serving with equal importance and are encouraged to attend all Chapter Training conferences that their schedules permit; therefore, be it resolved that if such appointed members attend Chapter Training Conferences they be reimbursed mileage at the prevailing USPS rate via the most cost wise means, registration and lodging. The appointed positions are Education, Legislative, Membership, Service Representative, PAC and Public Relations Chairpersons.

RESOLVED, that the Legislative Chairperson is responsible for the coordination of Legislative events; therefore, be it resolved that he/she be reimbursed for lodging, travel and registration to attend the Legislative Conference and he/she be reimbursed for registration fee to attend the National Convention.

RESOLVED, that the Education Chairperson, Membership Chairperson, PAC Chairperson and Service Representative are encouraged to participate in the official training provided to enhance their value to the Organization, and resolved that said training is available only at the Legislative Conference; therefore, be it resolved that the Education Chairperson, Membership Chairperson, PAC Chairperson and Service Representative be reimbursed for registration, travel, and lodging to attend the Legislative Conference. The Membership Chairperson and PAC Chairperson be reimbursed for registration to attend the National Convention. The PAC Chairperson, Service Representative and Education Chairperson be reimbursed for registration to attend the State Convention.

RESOLVED, that the Education Chairperson is responsible for the coordination of the training sessions at the annual State Training Conference; therefore, be it resolved that the Chairperson be reimbursed to attend the annual Training Conference.

RESOLVED, that the National Vice Presidents, when such is a North Carolina Postmaster, is encouraged to attend semi-annual Training Conferences, Executive Board Meetings, and semi-annual Retiree Meetins, therefore, be it resolved that he/she be reimbursed to the extent of mileage at the prevailing, USPS rate via the most cost wise means, registration and lodging to attend semi-annual Training conferences, Executive Board Meetins, and semi-annual Retiree Meetings.

RESOLVED, that the Postmasters' Retired are a vital part of the North Carolina Chapter of NAPUS and it is in the best interest of all Postmasters that the Postmasters' Retired continue to be an active and strong voice; therefore, be it resolved that the Postmasters' Retired be refunded 50% of their State dues in February of each year based on membership numbers on roll as of December 31 of the previous year. RESOLVED that the retirees be refunded $7.25 to reflect the change in retiree dues and this includes the retirees and associate members.

RESOLVED, that unless otherwise stated, reimbursement shall include registration, and mileage at the prevailing USPS rate via the most cost wise means of transportation, and (1) nights lodging if the event exceeds One Hundred (100) miles one way from residence, and Two Hundred Fifty (250) miles one way from residence for (2) nights lodging at the discretion of the Executive Committee.

RESOLVED, the Postmaster Representatives must be available upon request to counsel and assist in the resolve of official concerns and protect the interest of Postmasters. They should avail themselves of the experience and knowledge of the National Committee on Postmaster Representation. The President shall appoint two Postmaster Representatives from each Postal District that shall be reimbursed for training at the discression of the Executive Committee. Since promptness and immediate response is required, be it resolved that Postmaster Representatives be reimbursed for actual telephone call charges and at the prevailing USPS rate per mile for travel to provide representation.

RESOLVED, that the immediate Past Secretary-Treasurer, if available, shall always be a member of the Finance Committee and the Audit Committee.

RESOLVED, as Postmasters are required to work within a budget both in the Postal Service and in their private lives, no NAPUS official shall exceed his/her budgeted expense allowance and once such expense allowance is depleted, no further funds will be forthcoming without prior approval of the Executive Committee

RESOLVED, that this Financial Policy is intended to reimburse the elected and appointed officials for expenditure of their funds and that this Financial Policy is adopted to encourage all elected and appointed officials to attend all meetings their schedules will permit while providing an opportunity to allow the general membership to share directly from a conservative Financial Policy.

RESOLVED, that this Financial Policy is intended to reimburse the elected and appointed officials for expenditure of their funds, therefore, signed expense vouchers should be submitted within thirty (30) days of occurrence to the Secretary/Treasurer for reimbursement, and if not claimed within this time, these expenses will need the approval of the Executive Board.


BE IT FURTHER RESOLVED, that this financial policy shall become effective on the date of its adoption/amendment by the Executive Board.

Adopted this 14th day of October 2006 by the North Carolina Chapter of NAPUS Executive Board.
